Terms of Use

1. Definitions

• Multi-Player – the software application and reseller infrastructure operated by the Company.
• Reseller – an authorized user who purchases credits and sells activations.
• Sub-Reseller – a panel created under a reseller.
• Credits – prepaid digital units used for activations.
• End-User – the final customer who uses the application.
• Partner – a distributor or DNS operator operating under specific commercial conditions.
• Activation – authorization enabling application use for a defined number of users or devices.

2. Eligibility and Authority

• You confirm that you are legally capable of entering into binding agreements.
• If you act on behalf of an entity, you confirm that you are authorized to bind that entity.
• Continued use of the Service constitutes acceptance of these Terms.

3. Account Registration and Responsibility

You are responsible for:

• Maintaining confidentiality of login credentials.
• All activity under your account.
• Activity of any sub-reseller created under your panel.

The Company is not liable for unauthorized access caused by failure to secure credentials.

4. Credit Validity and Panel Activity

• Credits are valid for 365 days from purchase.
• Panels with no credit recharge activity for 180 consecutive days may be automatically blocked.
• Expired or blocked credits are non-refundable and non-recoverable.
• Credits are digital assets within the Multi-Player system and have no cash value.

5. Sub-Reseller Restrictions

Sub-resellers may operate only under the reseller who created their panel. It is prohibited to:

• Open panels through other resellers.
• Purchase credits from unauthorized sources.
• Sell credits or activations below the official pricing policy.

Violations may result in suspension or permanent deletion.

6. Pricing Policy

Minimum End-User Pricing:

• Yearly activation must be at least 25% higher than the price of one credit.
• Lifetime activation must be at least 50% higher than the price of one credit.

7. Reporting Abuse

• Verified reports of pricing abuse may be rewarded with 10% of the offending reseller's remaining credit balance.
• Reports must include verifiable evidence.

8. Activations and Usage Restrictions

Activations must only be issued to legitimate end-users. It is prohibited to:

• Transfer or duplicate activations outside the panel.
• Create fake accounts.
• Distribute mass free activations.
• Circumvent activation logic.

Violations may result in suspension and credit forfeiture.

9. Payments and Refunds

• All payments are processed by NOVA TECHNOLOGIES SAS.
• All credit purchases are final and non-refundable.
• Credits cannot be exchanged, transferred, or converted into cash.
• No refunds are issued for unused, expired, or forfeited credits.

10. Intellectual Property

• All software, systems, infrastructure, branding, and related materials are owned by or licensed to NOVA TECHNOLOGIES SAS.
• No ownership rights are transferred to users.

11. Service Availability

• The Company aims to provide continuous service but does not guarantee uninterrupted or error-free operation.
• The Company is not liable for disruptions caused by third-party providers or external technical failures.

12. Limitation of Liability

• To the maximum extent permitted by law, NOVA TECHNOLOGIES SAS shall not be liable for indirect, incidental, or consequential damages.
• Total liability shall not exceed the amount paid by the user in the previous 30 days.

13. Termination

• The Company may suspend or terminate accounts for violations of these Terms.
• Upon termination, remaining credits may be forfeited without compensation.

14. Amendments

• The Company reserves the right to update these Terms at any time.
• Continued use of the Service constitutes acceptance of updated Terms.

15. Governing Law

• The laws of the Oriental Republic of Uruguay govern these Terms.
• Any disputes arising out of or in connection with these Terms shall fall under the exclusive jurisdiction of the competent courts of the Oriental Republic of Uruguay.
